Seller Agreement

Effective Date: 12 March 2019

These Seller Agreement (the “Agreement”) constitute a legally binding agreement between the seller (hereinafter, the “Seller”) and MOJO FZ LLC, a limited liability company with registered address at A4-709 Building no.A4, Al Hamra Industrial Zone-FZ, 10055 Ras Al Khaimah, United Arab Emirates, registered under number 45000044 (“OZERTY”, “we”, “us” or the “Marketplace Operator”), governing the Seller’s access to and use of the OZERTY Marketplace (the “Marketplace”).

By registering as a Seller and submitting products for listing, the Seller acknowledges having read, understood, and agreed to be bound by this Agreement.

1. Definitions

Marketplace: The online platform operated by OZERTY allowing Sellers to offer products to Users for sale.

Seller: Any legal or natural person offering products for sale on the Marketplace.

User: Any natural person purchasing products through the Marketplace.

2. Eligibility & Registration

The Seller represents and warrants that it has full legal capacity and authority to enter into this Agreement, and that it complies with all applicable laws and regulations in its country of registration and the countries to which it sells.

The Seller must provide accurate, complete, and up-to-date information during registration and throughout its activity on the Marketplace. OZERTY reserves the right to verify any information provided.

3. Product Approval and Content Compliance

All product listings submitted by the Seller are subject to prior review and approval by OZERTY, which reserves the right to accept or reject any product at its sole discretion, without obligation to justify its decision.

OZERTY further reserves the right to delist, unpublish, or remove any product from the Marketplace at any time and without notice.

The Seller shall ensure that all content (including product titles, descriptions, images, videos, and documents) is lawful, accurate, not misleading, and does not infringe any third-party intellectual property rights, including copyrights, trademarks, or design rights. The Seller bears sole legal responsibility for all content it submits to the Marketplace.

4. Legal Status of the Sale

Each sale made via the Marketplace is concluded directly between the Seller and the User. OZERTY acts solely as a technical intermediary, providing the platform infrastructure. OZERTY is not a party to the sales contract and does not assume any responsibility regarding the execution, quality, legality, or delivery of the products.

The Seller is solely liable for fulfilling the contract of sale, including shipping, invoicing, customer service, and compliance with applicable laws and regulations.

5. Obligations of the Seller

  • Comply with all laws and regulations applicable to the sale of its products, including consumer protection, product safety, VAT and customs regulations, and data protection.
  • Respect the Marketplace's Refund & Return Policy, Shipping Policy, and Privacy Policy, as amended from time to time.
  • Fulfill all orders promptly, accurately, and in accordance with the delivery commitments presented to the User.
  • Maintain up-to-date stock information and product availability.
  • Not attempt to circumvent the Marketplace (e.g., by redirecting Users to another sales channel).

6. Intellectual Property

The Seller affirms that it holds all necessary rights, licenses, or authorizations to market the products it offers on the Marketplace.

The Seller shall indemnify and hold harmless OZERTY from any claim, action, or liability arising from the use or display of any content or product that infringes third-party intellectual property rights.

7. Customer Data and Data Protection

The Seller shall only process User data to the extent necessary for order processing, shipping, customer communication, invoicing, and after-sales service.

The Seller shall comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

OZERTY remains the data controller for all operations related to the operation of the Marketplace. Sellers act as independent data controllers for the processing of data strictly related to their sales.

8. Fees and Financial Terms

Any commercial and financial terms applicable to the Seller’s use of the Marketplace, including commission structures, payout schedules, and applicable deductions, shall be governed by a separate written agreement entered into between OZERTY and the Seller. Such terms are confidential and are not publicly disclosed.

9. Liability and Indemnification

The Seller shall indemnify, defend, and hold harmless OZERTY, its affiliates, officers, and employees from and against any and all claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or relating to:

  • Any breach by the Seller of this Agreement or any applicable law or regulation;
  • Any claim by a User or third party relating to the Seller's products, content, or conduct;
  • Any actual or alleged infringement of intellectual property rights by the Seller or its products.

10. Suspension and Termination

OZERTY reserves the right, at its sole discretion and without notice, to suspend or terminate the Seller’s access to the Marketplace, including but not limited to the following situations:

  • Violation of these Terms;
  • Non-compliance with applicable laws or regulations;
  • Negative impact on the reputation or operation of the Marketplace;
  • Failure to fulfill orders or respond to customer complaints in a timely manner.

Termination of the Seller’s account shall not relieve the Seller of its obligation to fulfill orders already placed or to comply with any post-termination obligations (e.g., refunds, chargebacks, legal obligations).

11. Modification of Terms

OZERTY reserves the right to modify these Seller Terms & Conditions at any time. Sellers will be notified by email or via the Seller interface. Continued use of the Marketplace by the Seller after such modification shall constitute acceptance of the new terms.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the UK.

Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the UK.
